International Finance

Description

The course is a survey of the law involved in international finance, providing a survey of the issues, concerns and general practices for the legal support required for finance transactions on an international basis. The course, and its related reading materials, are designed to raise topics that give the lawyer, dealing w ith multi-jurisdictional aspects of a international finance transaction the ability to recognize the issues likely to occur, the concerns to keep in mind and some of the usual solutions, legal and structural, to those issues and concerns. The well prepared lawyer reviewing and structuring international financing arrangements should be able to recognize the aspects of the transaction where legal matters are most likely to advise, be proactive in identifying those issues and offering potential solutions, and understand when, how and with whom to make appropriate enquiries to gain an understanding of the applicable laws in all of the jurisdictions involved. This need to be aware extends to understanding the jurisdictions that might be relevant , the conflicts of laws and jurisdiction issues that will apply, and the aspects of the transaction that will give rise to the need to consider differences in the law applicable in each of the jurisdicti ons that may be involved. The focus of the course, and its related materials, is to provide that general background. The course will also provide outlines, for a legal practitioner, working with financing transaction , of each participant and potential participant';s roles and functions in the international finance transaction in order to provide legal solutions to deal problems. The focus will be on multi-jurisdictional transactions, where differences and practice norms in law can disguise similarities and differences in roles and functions creating confusion in the documentation of the legal relationships. Understanding the underpinnings of the basic finance transaction is crucial in translating Canadian law and practice to the multi-jurisdictional deal, and it will be assumed that the students have an understanding of basic commercial and business law in Canada.
