Contracts for Business

Description

The course is a survey of Canadian contract law intended for lawyers trained in non-common-law jurisdictions and for non-lawyers. The course provides foundational training in the common law of contracts, focusing on the legal principles involved in formation and enforcement of commercial transactions such as agreements to buy and sell goods or supply services. The course attempts to deal with the general principles of law applicable to the main types of bargain transactions found in contemporary business practice. Topics considered include: the formation of contracts; the doctrine of consideration; intention as an element in contractual obligations; writing requirements; breach of contract; and a brief overview of remedies for breach of contract. The course, and its related reading materials, are designed to raise topics that give the lawyer or sophisticated business person dealing with Canadian or other common law contracts the ability to go beyond the business aspects of a transaction and understand the fundamental legal principles at play. In person and online learners attend class at same time.
