Description

This course provides an introduction to the laws governing the predominant forms of business organization in Canada – sole proprietorships, general partnerships, limited partnerships, limited liability partnerships and corporations. The focus of the course is on business corporations, with particular reference to the Canada Business Corporations Act. The course canvasses such topics as: the creation and organization of the corporation; the corporation as a distinct entity from its shareholders; the capital structure and activities of the corporation; roles and duties of directors, officers and shareholders; corporate governance; shareholder agreements; shareholder derivative actions and other remedies; and introduction to corporate transactions (mergers and acquisitions). Please note that this course is identical to CCLW 6845 - Business Associations with the sole exception that students in BLIS 6838 will write a Significant Research Paper instead of an invigilated final exam. Students in BLIS 6838 will share a schedule and course website with students registered in CCLW 6845. This version of the course is only for those who are interested in the subject but don't want to write a final exam. It should be noted that this course DOES NOT satisfy the NCA's Business Organizations competency. Students wishing to satisfy the NCA's Business Organizations competency should enroll in CCLW 6845.
